Overview
Carl's practice focuses on real estate, timber, finance and commercial transactions, including telecommunications services and access agreements for multifamily and commercial clients. He primarily represents commercial real estate developers, investors and owners in connection with acquisition, development, financing, operation and sale of multifamily, office, industrial and retail projects of all sizes. He served as lead General Counsel for a large multiple dwelling unit (MDU) developer in negotiating a $650+ million equity/partnership deal with a large institutional investor and represented the developer in numerous restructures of that arrangement. He works with developers in negotiating private/municipal participations, like tax abatement agreements, special use districts and tax increment finance districts.
Carl has an emphasis in the telecommunications area, coordinating a team that negotiates telephony, cable/video and Internet services agreements for MDU projects and telecommunications and utility access agreements and rooftop leases for multiple tenant unit (MTU) projects, both for individual projects and on a national basis.
He also handles lease transactions for many office and industrial landlords and tenants. He negotiated the largest office lease transaction in the United States in 1993, representing the landlord in connection with a lease for more than 450,000 rentable square feet in The Towers at Williams Square in Irving, Texas. He has represented landlords in numerous lease negotiations involving more than 100,000 rentable square feet and the tenant in a lease transaction involving more than 100,000 rentable square feet.
Carl negotiated, or supervised the negotiations for, all acquisitions, sales, restrictive covenants and property owners' associations, joint ventures, hotel, office and MDU leases and management agreements, golf course management agreements and sales and private and public financing transactions for the Las Colinas development from its inception through 2005, including a private restructure involving more than $750 million in public and private debt and other negotiations with more than 50 lenders secured by loans on individual properties.
Carl coordinated negotiations for a transaction in excess of $300 million involving acquisition by three different purchasers of office buildings in the United States and Europe from a single seller. He negotiated a partnership between one purchaser and an institutional investor to acquire some of the United States office buildings.
He headed up a team to represent KDC Real Estate Development & Investments in connection with a transaction in which E2M Partners, LLC and Sammons Enterprises, Inc. formed a joint venture to make a capital investment in KDC Real Estate Development & Investments.
