  • Representation of a global outsourcing company in connection with the Chapter 11 bankruptcy cases of Delphi Corporation and Washington Mutual, Inc. Munsch Hardt represented the outsourcing company in connection with both disputes and litigation related to complex outsourcing agreements.
  • Representation of mezzanine lenders through the borrower's Chapter 11 bankruptcy and in several adversary proceedings, acquisition of the project under Section 363 of the Bankruptcy Code, restructuring of the existing senior loan documents with International Bank of Commerce, negotiation of all project documents with a Texas based resort, preparation of airport access agreements, modification of pre-existing design agreements, preparation of construction contracts with numerous general contractors and licensing of with the Texas Real Estate Commission.
  • Representation of an ad hoc committee of bondholders, consisting of some of the largest institutional holders of municipal bonds in the country, with claims in excess of $400 million, in connection with the Chapter 11 proceeding of Lehman Brothers Holdings, Inc. The Lehman Brothers Holdings, Inc. case is believed to be the largest bankruptcy in United States history.
  • Representation of a major international lender and its affiliates in the Chapter 11 proceeding of SemCrude, L.P. and its affiliates in connection with $2.4 billion credit facility. The SemCrude, L.P. proceeding involved one of the largest oil trading, transportation and gathering firms in the country.
  • Representation of an international financial institution in its capacity as agent and steering committee member in connection with syndicated commercial bank credit facilities involving construction financing for the development of four extraction and upgrader facilities for heavy oil in the Orinoco Belt in Venezuela. Total credit exposures on the five projects involved gross commitments of $2.92 billion. Certain aspects of the projects had also incurred capital market or governmental guaranteed financing with original aggregate fundings of $3.97 billion.
  • Representation of an international financial institution with exposure in the Venezuelan Orinoco Belt in the restructuring of several petrochemical and heavy oil financings as a result of the Venezuelan government's recent privatization measures. The syndicated loans total over $2.2 billion and $1.7 billion in bond debt.
  • Representation of the agent bank for a $1.4 billion secured credit facility for construction and working capital credit to the owner and operator of the two largest combined-cycle natural gas fueled power generation facilities in Arkansas and Arizona.
  • Representation of the agent bank in a $250 million syndicated revolving credit facility to a producer of natural gas for general corporate purposes. The collateral included Appalachian wells located in seven states.
  • Representation of a syndicate of 19 financial institutions in the consensual restructure of a $1.2 billion loan relating to the transfer of title to 3400 megawatt electric generating facilities, 2400 of which are still under construction, to a special purpose vehicle indirectly owned by the lenders.
  • Representation of BNP Paribas and affiliates in the Chapter 11 cases filed by Enron Corporation and its affiliates in the Southern District of New York. Enron was the second largest bankruptcy filing in United States history.
  • Representation of BNP Paribas, as agent, for a syndicate of 10 banks in the Chapter 11 case filed by Video Update, Inc. in the United States Bankruptcy Court for the District of Delaware. Video Update, Inc. was the third largest video retail/rental chain in the United States.
  • Representation of BNP Paribas, as agent, for a syndicate of eight banks in the Chapter 11 case filed by Coho Energy, Inc. in the United States Bankruptcy Court for the Northern District of Texas, Dallas Division. Coho Energy, Inc. was a national oil and gas production company.
  • Representation of a leading provider of information technology and carrier-class telecommunications in the Chapter 11 cases filed by Adelphia Business Solutions, Inc. and its affiliates, and in the separate Chapter 11 cases filed by Adelphia Communications Corporation and its affiliates, in the United States Bankruptcy Court for the Southern District of New York. Adelphia Business Solutions, Inc. and its affiliates are leading providers of facilities based integrated communications services to customers throughout the United States. Adelphia Communications Corporation and its affiliates are the sixth largest operators of cable television systems in the United States.
  • Representation of Texas Instruments Incorporated in connection with various bankruptcy and workout matters involving, among others, aerospace companies, telecommunications companies and computer chip suppliers, defense contractors and other end users throughout the United States.
