Seniors' Housing Projects
The Munsch Hardt Seniors' Housing Projects group represents a number of owners and developers of independent living, assisted living and skilled nursing facilities as well as continuing care retirement communities. Several of our attorneys spend most all of their time working in the seniors' housing area. We handle a variety of legal matters for such seniors' housing clients including acquisitions and dispositions, development and construction, leasing, lending and finance, management agreements, partnerships and joint ventures, land use and entitlements, environmental, insurance and telecommunications. Of particular note, one of our real estate lawyers served for several years as General Counsel to a major health care real estate investment trust. We have also structured funds for the investment of capital in seniors' housing projects and companies.
Recent seniors' housing transactions handled by the Seniors' Housing Projects group include the representation of a nursing home developer in the development and acquisition of 12 skilled nursing facilities (SNFs) in several states, health care investor in the acquisition and disposition of a three facility assisted living portfolio in Pennsylvania and seniors' housing company in the acquisition and subsequent sale leaseback of five skilled nursing facilities in Texas.
- Representation of a $400 million Dallas, Texas based private equity fund in the acquisition of a controlling interest in a health care Real Estate Investment Trust (REIT) (that owned nursing homes and other seniors' housing assets leased to various operators) and the subsequent sale of this interest.
- Representation of a health care REIT (that owned nursing homes and other seniors' housing assets leased to various operators) with respect to virtually all its operations. In addition to handling numerous leases, lease terminations, acquisitions and dispositions, we led the investor's initiative to overhaul its lease forms and procedures and address insurance/liability concerns.
- Representation of a joint venture in the development and acquisition of 12 skilled nursing facilities (SNFs) in the Mid-Atlantic region.
- Representation of a Dallas, Texas based investment firm in the acquisition and/or development of seven SNFs in Texas.
- Representation of a joint venture in the acquisition of four SNFs and assisted living facilities (ALFs) in various states and the subsequent restructuring and sale of some of these assets.
- Representation of an investment firm in the acquisition of three ALFs from an affiliate and the subsequent sale of such portfolio.
- Representation of a private real estate equity firm in the acquisition and development of 15 SNFs in Texas and Missouri as well as related financing, restructuring and disposition of some of those facilities.
- Representation of an affiliate of a privately held equity investment firm in the acquisition of a controlling interest in a public company that, at the time, was the largest owner/operator of ALFs in the United States and the later sale of the company.
- Representation of a venture between a privately held equity investment firm and senior living communities in the acquisition and later disposition of a number of SNFs and ALFs.
- Representation of various investment funds sponsored by a privately held equity investment firm, a specialized real estate investment management firm and other clients in negotiating the purchase and sale agreements and/or performing due diligence on a number of public and private seniors' housing companies and portfolios.
- Representation of a health care investor in the acquisition and disposition of a three facility assisted living portfolio in Pennsylvania.
- Representation of a seniors' housing company in the acquisition and subsequent sale leaseback of five SNFs in Texas.
