The Munsch Hardt Acquisitions & Dispositions group includes attorneys experienced in the purchase and sale of office buildings, industrial projects, retail centers, multifamily projects, hospitality and resort projects, mixed-use developments, seniors' housing facilities, medical facilities, land and other real estate assets. We have particular experience in the acquisition and disposition of these large portfolios. Working with portfolio or investment managers, we assist with letters of intent, purchase and sale agreements, due diligence and closing, at each stage playing an integral role in achieving our clients' investment objectives.
During the early 1990's, we became a nationwide leader in the acquisition and resolution of large multistate portfolios of distressed loans and real estate from governmental entities and financial institutions on behalf of real estate investors, investment banks and foreign investors. These transactions are beginning to occur again and our real estate attorneys have the experience necessary to help our clients capitalize on opportunities. And, when needed, our Insolvency, Restructuring & Creditors' Rights group has a national reputation in handling complex real estate restructuring and workouts.
- Representation of a purchaser in the acquisition of 32 apartment projects in nine states with multiple layers of equity and financing involving the seller, lender and our client.
- Representation of a purchaser in the acquisition of 15 apartment projects in four states financed with a $52 million securitized facility.
- Representation of a purchaser in the acquisition of approximately 60 acres of older apartment projects in Dallas, Texas and redevelopment of the site into dense, mixed-use projects incorporating retail, multifamily and townhomes.
- Representation of a purchaser in the acquisition of a landmark hotel in New Orleans, Louisiana's French Quarter.
- Representation of a seller in the sale of a four star resort located in Santa Fe, New Mexico that had been privately held for generations.
- Representation of a hotel company in the acquisition, redevelopment, financing and ultimate sale of a portfolio of 16 full-service hotels located around the country.
- Representation of a hotel company in the acquisition, restructuring and secured financing of a full-service, publicly traded hotel company involving 200+ properties in 20 states and Canada.
- Representation of a lodging company in the acquisition of more than 100 new development sites in Arizona, California, Colorado, Florida, New Mexico, Oklahoma, Louisiana, Texas and Utah in connection with a national rollout of an extended stay lodging concept.
- Representation of an investor in creating an acquisition program for existing office buildings utilizing private debt and equity capital including the purchase of over 20 downtown and suburban office buildings containing over 3 million square feet of space nationwide.
- Representation of a developer in the acquisition, management and leasing of a 12 story historic office building in downtown Dallas, Texas.
- Representation of a development entity in the acquisition, construction and leasing of more than 1.4 million square feet of office, technical and industrial space in 14 projects in Dallas and San Antonio, Texas. The development entity was a joint venture between a foreign equity source and a Dallas, Texas developer.
- Representation of a foreign investment group in the acquisition, management and leasing of three high-rise suburban office buildings containing approximately 600,000 square feet.
- Representation of a developer in the acquisition, redevelopment and sale of a 150,000 square foot office building in Denver, Colorado.
- Representation of an owner in the sale of office buildings in Irving, Texas containing approximately 440,000 square feet.
- Representation of a bank in the acquisition and development of retail banking facilities located throughout Texas.
- Representation of a purchaser of a 450,000 square foot mall located in Arizona and the subsequent development of a retail supercenter and adjacent pad sites.
- Representation of two rapidly expanding, publicly traded, restaurant chains in the acquisition and lease transactions throughout the United States.
- Representation of a purchaser in purchase, redevelopment, refinancing and ultimate sale of power centers in Texas, Oklahoma, Louisiana, Colorado, New Mexico, Arizona and Arkansas, and former grocery store anchored sites and outparcels for redevelopment, lease up and pad site development for multiple retail real estate investors and developers.
- Representation of purchasers of several restaurant chains including performance of all real estate and corporate due diligence under an expedited timeframe.
- Representation of a $400 million Dallas, Texas based private equity fund in the acquisition of a controlling interest in a health care Real Estate Investment Trust (REIT) (that owned nursing homes and other seniors' housing assets leased to various operators) and the subsequent sale of this interest.
- Representation of a joint venture in the acquisition of four skilled nursing facilities (SNFs) and assisted living facilities (ALFs) in various states and the subsequent restructuring and sale of some of these assets.
- Representation of an investment firm in the acquisition of three ALFs from an affiliate and the subsequent sale of such portfolio.
- Representation of a private real estate equity firm in the acquisition and development of 15 SNFs in Texas and Missouri as well as related financing, restructuring and disposition of some of those facilities.
- Representation of an affiliate of a privately held equity investment firm in the acquisition of a controlling interest in a public company that, at the time, was the largest owner/operator of ALFs in the United States and the later sale of the company.
- Representation of a venture between a privately held equity investment firm and senior living communities in the acquisition and later disposition of a number of SNFs and ALFs.
- Representation of various investment funds sponsored by a privately held equity investment firm, a specialized real estate investment management firm and other clients in negotiating the purchase and sale agreements and/or performing due diligence on a number of public and private seniors' housing companies and portfolios.
- Acquisition of sites for transit facilities and obtaining entitlements in conjunction with a transportation oriented development.
- Acquisition of over 1 million acres of timberland in East Texas.
- Acquisition of 6,000 acres near Aspen, Colorado for a residential golf development.
