The Munsch Hardt Partnerships, Joint Ventures & Funds group handles all aspects of our clients' capitalization of their real estate projects including the negotiation of joint venture, limited liability company, limited partnership and other agreements with financial and operating partners. Such agreements range from simple agreements to provide the equity for a single project to complex agreements creating acquisition or development programs involving multiple projects. Our clients include developers and companies who need equity capital as well as private and institutional investors who provide capital. Working closely with our Tax and Corporate & Securities groups when appropriate, we counsel clients in all aspects of the investment of equity capital in real estate projects and companies.
We are one of the few firms in the region with substantial experience in the formation and operation of real estate private equity funds and opportunity funds that include retirement funds, state funds, university endowments and other tax exempt investors (and in fact one of our lawyers spent several years working at a major Dallas, Texas based private equity firm) as well as equity and debt transactions structured to comply with Shariah law.
- Representation of a private investment fund in the negotiation of limited partnership agreements with over 20 real estate operating and development partners for the investment of equity capital in their projects.
- Representation of a national development company in the negotiation of a partnership with an institutional investor to provide over $500 million in equity for development.
- Representation of a private equity fund sponsor in a series of opportunity funds aggregating over $1 billion with university endowments, pension funds, state funds and other institutional investors.
- Representation of the owners of the Las Colinas development in Irving, Texas in numerous joint venture transactions since the inception of the development.
- Representation of a developer in an equity investment by an institutional investor to fund operations and future development.
- Representation of a private equity fund including tax exempt investors in the negotiation of several partnerships to fund capital to real estate developers and operating companies.
- Representation involving the formation of partnerships between the partners of real estate investment, development and services companies.
- Representation of the financial partner in an investment program to develop skilled nursing facilities (SNFs).
- Representation of the operating partner in several partnerships with a financial partner to acquire retail shopping malls and centers.
