 OverviewM’Lou is a member of the Corporate & Securities, Finance and Real Estate Practice Groups. Most recently, she served as the Managing Shareholder of Munsch Hardt’s Austin office and as a member of the Firm’s Management Committee. M’Lou’s broad transactional practice focuses on corporate, real estate and finance transactions for publicly- and privately-held companies. She has experience in multiple industries, having worked closely with clients in the retail, hospitality, franchise, health care, software and commercial real estate development industries. She routinely represents both buyers and sellers in all types of corporate and real estate transactions. She regularly assists clients in business organization, reorganization and business succession planning, and has represented clients related to such diverse matters as public-private partnerships, franchisee area development and lease agreements, on-airport leasing and development, lending and alternative financing, asset and stock purchases and dispositions, the formation and governance of condominium regimes, the negotiation of government contracts and the leasing of retail, office and industrial space. She is also routinely called upon to assist clients in the acquisition, development, construction, leasing and disposition of income-producing properties. M’Lou routinely serves as general counsel to many of her clients. As needed, she assists them with letters of intent, contract development and negotiation, financing, construction and development and the many other matters that arise during the life of a project. Corporate representation includes appropriate entity selection and the inclusion of appropriate management, buy-sell and other safeguards in limited partnership, limited liability company, voting and other agreements. Throughout her representation, M’Lou provides input regarding risk allocation and helps to find solutions to legal issues as they arise. She also assists clients in developing and implementing exit strategies, either on an entity or project-specific basis or as part of an overall disposition plan. Memberships
