Overview

Bryan’s practice focuses on real estate and corporate law, including commercial finance and lending, complex commercial real estate transactions, and corporate governance.

Bryan regularly advises commercial lenders on complex commercial finance transactions, negotiating and managing deals on behalf of his clients. His experience includes preparing loan agreements, promissory notes, security instruments, and ancillary loan documents related to real property, mineral interests, and various types of personal property with values up to $50 MM. Bryan also advises clients on entity formation and corporate governance matters, including the preparation of governing documents, stock purchase agreements, merger agreements, executive compensation plans, and corporate policies.

In addition, he represents owners, landlords, and tenants in the acquisition, disposition, leasing, and financing of commercial real estate transactions. He negotiates ground leases and triple-net leases for office and retail properties, examines title commitments and related due diligence materials, and negotiates and prepares closing documents for transactions. Bryan also handles the sale, purchase, transfer, lease, acquisition and/or disposition of commercial real property, mineral interests and/or various types of personal property, including the negotiation and preparation of real estate sales contracts, purchase and sale agreements, asset purchase agreements, deeds and ancillary documents, lease agreements, and other related agreements for corporations and individual clients.

Prior to practicing law, Bryan served in the United States Marine Corps as a squad leader. His military service instilled strong leadership, organization, and problem-solving skills that continue to inform his approach to client service.
